Deep inside the SpaceX IPO prospectus are details on a huge transaction. |
It could be critical if SpaceX plans to become profitable just in time for the June 12 Initial Public Offering. |
The Pre-IPO window closes on June 11. So, there’s limited-time to secure your investment ahead of the Nasdaq listing. |

On May 3, SpaceX signed a cloud services agreement with Anthropic — the maker of Claude, and one of the most valuable private AI companies in the world. |
The terms: $1.25 billion per month, through May 2029. |
That's $15 billion a year. Nearly $45 billion over the life of the contract. |
For context, SpaceX's entire 2025 revenue was $18.7 billion. |
This one deal with a single customer nearly doubles SpaceX revenues. |
To understand why this matters, you have to understand the problem both companies were trying to solve. |
SpaceX's AI division was bleeding money. In 2025, the AI segment lost $6.4 billion on $3.2 billion in revenue. In just the first quarter of 2026, the loss hit $2.5 billion. The problem wasn't the infrastructure. |
Colossus 1 in Memphis is one of the largest AI training clusters ever built — over 220,000 Nvidia GPUs, more than 300 megawatts of power. The problem was that Grok, SpaceX's own AI model, didn't need all of that capacity. So SpaceX had built this enormous, expensive facility. And it wasn’t being fully used. |
Anthropic had the opposite problem. Claude had become one of the most widely used AI tools in the world. Revenue was growing at a pace that was outrunning the company's access to compute. It couldn't get enough GPU capacity fast enough — not from AWS, not from Google. |
The Anthropic-SpaceX deal solves both problems at once. |
· SpaceX: the data center goes from cash drain to cash machine overnight. Analysts estimate the arrangement could generate more than $2.5 billion in annual profit. When your fixed costs are sunk and a tenant walks in willing to pay $1.25 billion per month, the margins are extraordinary. |
· Anthropic: it gets a massive, dedicated block of compute capacity that doesn't have to be shared with other cloud customers. That immediately translated into higher usage limits for Claude subscribers and faster model inference across the product. |
Additionally, the prospectus notes that Anthropic "expressed interest" in multiple gigawatts of orbital AI compute capacity. This means space-based data centers powered by solar energy, which SpaceX is planning to deploy beginning in 2028. If that partnership develops, this $45 billion compute agreement could just be the first chapter of something much larger. |
The timing for the IPO couldn't be better. |
SpaceX's roadshow could begin as soon as June 4. |
Institutional investors had been concerned about the big losses for the AI division. That concern changes dramatically when you have Anthropic writing a $15 billion annual check for the SpaceX AI infrastructure. |
The AI bet went from risky to validated in a single announcement. |
The limited-time SpaceX Pre-IPO window is now open. It’s expected to close forever on June 11. |
