On September 25th, 2026, Goldgroup Mining Inc. (NYSE American: GORO) closed a non brokered private placement for gross proceeds of $121.8Mn, which the company called the largest financing in its history.


It launched at $75Mn on September 9th and finished more than 60% larger, with 33,382,326 units issued at $3.65, each carrying half a warrant exercisable at $5.10 until March 25th, 2028.


Chief Executive Officer Javier Reyes said the result "reflects strong support from new and existing shareholders," adding: "Our priority now is disciplined execution."


Why is this development important? You see, the money did not sit idle for long.


On September 28th, Goldgroup signed a binding commitment to in-vest $75Mn in Luca Mining Corp., which is in the process of buying the Cozamin copper silver mine in Zacatecas from Capstone Copper for $290Mn upfront.


Goldgroup expects to hold about 19.9% of Luca once the subscription receipts convert and the acquisition closes.


While it holds at least 10%, Goldgroup gains the right to nominate two of Luca's directors, along with equity participation and anti dilution rights, subject to certain conditions.


Cozamin is not a construction project. It has operated continuously for about 20 years, with paste backfill and filtered tailings systems already built.


Even after that commitment, Goldgroup expects to keep roughly $91Mn of its approximately $166Mn cash balance, before transaction costs and other committed uses.

The same day, Eric Sprott disclosed buying 994,300 units in the placement, bringing his holdings to 12,154,046 shares and 4,460,213 warrants.


Both the Luca in-vest-ment and the Cozamin acquisition remain subject to closing conditions, including TSX Venture Exchange approval.


The company reached this point by merger. Goldgroup and Gold Resource Corporation closed a business combination on July 17th, 2026, and Goldgroup took the GORO symbol on the NYSE American.

Company Breakdown: Goldgroup Mining Inc. (NYSE American: GORO)


Goldgroup operates as a mining and metals company that focuses on gold production and exploration. Two mines carry current output.


Cerro Prieto is a shallow open pit heap leach on a roughly 4,335 hectare property in Sonora, producing gold and silver doré through two crushing circuits and an adsorption desorption recovery plant.


It has operated since 2013 near 11,500 ounces a year, and the company's in house 2026 estimate is 17,000 to 20,000 plus ounces.


Don David in Oaxaca is an underground operation on 55,000 hectares, mining epithermal veins across the Arista, Three Sisters and Switchback systems and trucking ore roughly two kilometres to the Aguila mill, where a 1,800 tonne per day flotation plant produces zinc, lead silver and copper gold concentrates.


Expected 2026 output is 37,000 to 52,000 ounces of gold equivalent.


San Francisco and the Back Forty volcanogenic massive sulphide project in Michigan form the development side.

From The Company Update


A July 23rd operations update laid out the pace.


Six underground rigs and one surface rig were working Don David, three rigs were on the San Francisco program, and three more were deployed at Cerro Prieto, two on resource expansion and one on confirmatory work.


A definitive feasibility study at Back Forty had begun in May under SLR Engineering.


Then Chief Executive Officer Allen Palmiere summarized it as follows: "Our integration is progressing well, and we are hitting the ground running."


Four days later he stepped down, with chair Javier Reyes taking over and Palmiere staying on as an advisor. The board made that appointment permanent on August 31st.

What The Drills Returned


On August 17th the company reported 25,726 metres across 123 holes at Don David over the seven months to July 31st, split between 16,249 metres of infill, 8,794 metres of expansion and 683 metres of ore control drilling.


Hole 525086 on the Sadie 1 vein cut 1.92 metres of estimated true width grading 13.49 grams per tonne gold and 931 grams per tonne silver.


At Alta Gracia, hole 426014 returned 2.55 metres at 1.66 grams per tonne gold and 1,695 grams per tonne silver.


Reyes put the purpose in one line: the aim "isn't simply to replace what we mine, but also to continue discovering and defining mineralization with the potential to extend mine life, grow our resource base and create long-term shareholder value. We believe we're only beginning to unlock Don David's full potential."

#3. Board Seats And Anti Dilution Rights Attached To The Luca Stake. As long as it holds at least 10% of Luca, GORO would be able to nominate two directors and carry equity participation and anti dilution rights, subject to conditions and TSXV approval.


#4. Installed Capacity At San Francisco Of 16,875 Tonnes Per Day. Crushing circuits, twin recovery plants and haul roads are already on the ground, which shortens what GORO would need to rebuild before restarting.


#5. A Placement That Beat Its Original Target By More Than 60%. The raise closed on September 25th at $121.8Mn from 33,382,326 units, and management says GORO now intends to deploy it through disciplined capital allocation and operational performance.


#6. Mill Upgrades Adding Throughput Before More Ore Arrives. Four gravity concentrators, a refurbished third ball mill worth 200 tonnes per day and a third filter press due this quarter give GORO more capacity at Don David.

Final Thoughts


Goldgroup Mining Inc. (NYSE American: GORO) is not asking anyone to imagine a mine.


Two are running, a third is standing with its plants intact while drills define what is left in the ground, and a fourth is moving through feasibility work in Michigan.


The questions ahead are specific and answerable: what the remaining assays return, and what the technical study concludes.


Mineral resources are not mineral reserves, and a restart decision made without established reserves carries higher technical and economic risk, as the company itself states.
